Software AG Sells Alfabet and Cumulocity Divisions, CEO Sanjay Brahmawar Departs

Software AG, once Germany's second-largest software provider, has sold its Alfabet and Cumulocity divisions, marking another significant step in the company's transformation. This move follows the recent sales of webMethods, StreamSets, and TrendMiner. As a result, CEO Sanjay Brahmawar will also be leaving the company, effective immediately.

The remaining divisions, including the mainframe business around Adabas & Natural (A&N) and the BPM and process mining suite ARIS, will be managed as independent companies by their own management teams. This new structure will allow each division to focus on its specific growth plans and accelerate development.

Brahmawar's departure comes after a mixed tenure as CEO, which began in August 2018. During his time at the helm, he oversaw Software AG's transformation from a legacy software company to a modern subscription and SaaS business focused on recurring revenue growth. He also played a key role in the acquisition of StreamSets and the subsequent sale of the newly created integration business to IBM for €2.13 billion.

However, Brahmawar's leadership was also marked by the sell-off of various company divisions, including TrendMiner, Cumulocity, and Alfabet. This has led some to question the role of financial investor Silver Lake Partners, which took over the company in 2022. Despite initial hopes for growth support, Silver Lake's involvement has ultimately resulted in the divestiture of several key businesses.

In a statement, Brahmawar expressed gratitude for his time at Software AG, praising the company's talented team and thanking Silver Lake for their partnership. However, his words were somewhat overshadowed by the announcement of his departure and the ongoing transformation of the company.

Christian Lucas, Managing Partner of Silver Lake and chairman of the supervisory board of Software GmbH, praised Brahmawar's contributions to the company's success, stating that Silver Lake would "invest in both ARIS and A&N and their best-in-class products and support their multi-year plans to accelerate growth as independent companies." This commitment to growth raises questions about the future of the remaining divisions and whether they will ultimately be sold or continue to operate independently.

The management of Software GmbH, which will continue to act as the holding company for ARIS, Adabas & Natural (A&N), and the central functions of the Software AG Group, has been transferred to Martin Biegel, Martin Clemm, Robin Colman, and Toktam Khatibzadeh. This new leadership team will be tasked with navigating the company's next phase of growth and development.

As Software AG continues to evolve, industry observers will be watching closely to see how the remaining divisions fare as independent companies. With Silver Lake's commitment to growth and investment, the future of ARIS and A&N remains uncertain, but one thing is clear: Software AG is no longer the company it once was, and its transformation is far from over.
